Author / Assignee – Aditya Jagtap - Founder of The Bezel Club

Transfer of ownership - Membership into The Bezel Club is represented by a Non-Fungible Token (NFT), initially purchased for USD2500.00 from the Nifty Souq platform. The Bezel Club NFTs can be purchased on the secondary market at a value determined by the owner at that time.

Funds obtained by The Bezel Club through sales of the NFTs will be held in a private account.

Collaboration agreements – Any collaborations, contracts and agreements between The Bezel Club and third party entities, including but not limited to those within the limits of these Terms & Conditions will follow in accordance to local law.

Holder – Any individual or entity who holds a The Bezel Club NFT is deemed to be an exclusive owner and entitled to the associated benefits when they i) acquire it from the author or ii) purchase it through smart contract on an NFT exchange platform iii) it is transferred between individuals via a smart contract transaction. The owner of The Bezel Club NFT is responsible for its security against theft, fraud, deception, scam or other causes of loss. Any loss of The Bezel Club NFT does not absolve the owner against liability to these Terms & Conditions.

Illegal Acquisition –Any unauthorised acquisition of The Bezel Club NFT, including through theft, fraud, deception, scam or otherwise, will not permit the holder to any of the benefits associated with membership to The Bezel Club. Where appropriate, action will be taken against the person who has acquired The Bezel Club NFT through unauthorised means. Holders of The Bezel Club NFT are required to register and provide contact details in order to gain access to membership benefits.

NFT Project –The Bezel Club is a community for watch lovers, where access is gated by ownership of an NFT that is recorded on the blockchain.

1. AGREEMENT

By purchasing a TBC NFT, you agree to our Terms and Conditions. Please read them carefully. Information on our Terms and Conditions will precede any act or fact that may give rise to obligations for the Contracting Parties. Acquisition of one or more TBC NFTs is subject to acceptance of these Terms of Use. By purchasing a NFT, they purchased access to the TBC community along with the benefits of this quality, not becoming partners in the Project.

2. MANDATORY CHARACTER

These Terms and Conditions are accepted by you by the mere fact of owning one or more TBC NFT, representing the agreement between you and us in connection with your status as the owner of one or more TBC NFT. If one of the provisions of this act proves to be null and void, all the others remain as valid as possible. If you identify references related to TBC NFT or about the project on other websites, we do not guarantee and / or confirm in any way the type of information you will find on them. It is up to you to decide whether or not to visit these websites and whether or not to consider the information found there.

3. MODIFICATION OF THE TERMS AND CONDITIONS

As the club aims to expand constantly and to make it as appropriate as possible for the purpose of having an excellent collaboration with you, these Terms and Conditions are subject to change at any time without notice. Therefore, please return to this page each time you use the website.

4. CONCLUSION OF THE CONTRACT

By purchasing one or more TBC NFT by you, regardless of the platform or the way you purchase the NFT, you enter into a contractual relationship with us and the mere possession of such a NFT generates rights and obligations for both us and for you. The object of the contract is the acceptance of the Holder in the TBC NFT community to the club, in exchange for proof of ownership of one or more TBC NFT.

5. JOINING THE TBC NFT COMMUNITY

Membership in the TBC Community is made exclusively on the basis of owning one or more TBC NFT and is intended exclusively for Holders

6. RIGHTS AND OBLIGATIONS

Simply owning one or more TBC NFT generates rights and obligations for both you and us.

6.1. Holders’ Rights

Only holders of TBC NFT are permitted opportunity to be invited to exclusive events, activations, online events, brand collaborations and other events arranged by TBC. Some events with limited numbers will require ballot or invitation process and members understand that owning a NFT does not guarantee access to all events.

In some instances, special invitations will be permitted allowing certain individuals to attend events at the discretion of The Bezel Club.

All members of TBC have the opportunity to be involved in community management and direction of the club. Decisions on TBC function will ultimately be made by the founder.

All members of TBC have access to the watch marketplace where watches can be purchased and sold. Access to this platform is strictly for TBC members only and unauthorised access through sharing of passwords or login details is not permitted.

Members have the right to enter TBC lotteries for specially discounted and retail watches. These lotteries are strictly for TBC members only as well.

Holders’ Obligations

Ownership of each NFT is considered to carry equal value, although holding up to a maximum of 3 generative art pieces from TBC will carry weight at times where ballots and lotteries are required. These art pieces were airdropped during the original sale of the NFT tokens and are themselves NFTs. The art piece NFTs can be bought/sold on the secondary market. Holders of TBC NFTs understand they are required to comply with the community rules regarding expected behaviour.

6.3. Promoters rights

TBC promoters have the right to organize events for NFT owners with physical or virtual participation, in case of organizing an event with a limited number of people, the participants in the event will be selected in the most transparent way possible; in the event of violations by the Holders of the rules set forth in these Terms and Conditions, Promoters reserves the right to remove them from the current and future events. In the case of organizing events, both with physical and virtual presence, Promoters have the right to establish a regulation for the organization and operation of the event, mandatory for Holders; Promoters are not responsible in any way for contracts entered into between the Owners and the professionals within the network; Promoters has no obligation on Holders to specify the destination of funds raised from the sale of TBC NFT

6.4. Promoters obligations

We attach great importance to the quality of the services we offer. We are aware that every client has certain expectations and we will try to identify your expectations and provide appropriate services.

Whenever such situations arise, we will try to agree with you as soon as possible on the changes will be made to the subject of the services to provide the best customer experience. We will provide the specialized services agreed with you, in accordance with what we consider to be a proper interpretation of the law and in accordance with the rules and principles governing the watch industry. We intend to provide prompt services with due diligence and attention. We will do our best to meet the deadlines set with you (although postponements are possible due to third parties or factors beyond our control). To ensure greater efficiency, it is important that we work with you. As a user of TBC, you will determine the strategy to be adopted and give us instructions. Our services will in many circumstances depend on the promptness with which you provide us with the necessary information. We will promptly process any request received from a Holder, TBC also has an obligation to moderate the chats of the community, so that no Holder is in a situation of being the victim of bullying.

7. CONFIDENTIALITY

Personal contact information collected by TBC as part of the sign up process will not be passed to third party entities. It may be used from time to time to contact members and communicate necessary information such as upcoming events and changes.

Communication and online correspondences are to be considered confidential. Members are not permitted to disclose private conversations, website pages, watch sale offers or other information with others. Information on TBC platforms is intended solely for TBC members.

8. INTELLECTUAL PROPERTY

All the content of The Bezel Club website and other platforms – images, videos, texts, graphics, symbols, web graphics, scripts, programs and other data – is the property of the website, The Bezel Club and is protected by Copyright Law and the laws regarding intellectual and industrial property. Any infringement of copyright will be liable under the law in force at the time of the infringement.

9. FORCE MAJEURE

Neither party will be liable for non-performance of its contractual obligations if such non-performance is due to force majeure. Force majeure is an unpredictable event, absolutely invincible and inevitable.

10. DATA PROTECTION

TheBezel Club collects personal data for the following purposes:

  • validation and transfer of ownership of the NFT purchased;
  • solving problems of any kind related to an order or a contract, to the services or products purchased by the Owners;
  • to ensure the Holder’s access to the TBC Community;
  • sending newsletters and / or periodic alerts, in exclusively electronic format;
  • contacting Holder, at his voluntary request;
  • contacting Holder, in matters of Customer Relations;
  • statistical purposes.

11. Watch Related Activity

  • Authenticity of the watches will be ensured by TBC to make sure customers have the best quality available. We will make sure to have the exact quality of watch confirmed online on the website or via customer chat.
  • The bezel Club is happy to deliver the watch to the customer or if the customer wants to arrange their own delivery that in acceptable as well.
  • If the customer arranges the delivery, TBC will not be responsible for any mishaps that occur during delivery and the responsibility of TBC ends once the watch is handed over to the delivery company/personnel.
  • If TBC arranged the delivery our responsibility will end once the customer receives the watch.
  • Once the watch is received and accepted TBC will not accept any returns or give any refunds. 
  • TBC will ensure all the papers of the watch will be with the watch to ensure authentication.
